Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Cleira website, the free in-browser gender pay gap analyzer, and the paid Cleira services (together, the "Services"). By using the Services you agree to these Terms.

The free analyzer
The free analyzer is provided for general informational purposes. It runs entirely in your browser and processes your data locally. It is offered "as is" without warranties. Results are an aid to understanding your pay-gap position and do not constitute legal advice or certified compliance.
Paid services and orders
Paid plans (Professional and Enterprise) are provided under an order or order form that references these Terms. Fees, the subscription term, the number of legal entities covered and any usage limits are set out in that order. Unless stated otherwise, fees are billed annually in advance and are exclusive of VAT and other taxes.
Acceptable use
You agree not to misuse the Services, including by attempting to gain unauthorised access, uploading unlawful content, infringing third-party rights, or interfering with the Services' operation or security.
Customer data and roles
For workforce/HR data you upload to the paid service, your organisation is the data controller and Cleira is a processor acting on your instructions under our Data Processing Agreement. You are responsible for the accuracy and lawfulness of the data you upload and for having an appropriate legal basis for the processing.
Intellectual property
Cleira and its licensors retain all rights in the Services, software and brand. You retain all rights in your data. We grant you a non-exclusive, non-transferable right to use the Services during your subscription term.
No legal advice; "as is"
Cleira provides software to help you assess and document pay-gap obligations under Directive (EU) 2023/970 and national implementing law. It does not provide legal advice and is not a substitute for qualified counsel. To the maximum extent permitted by law, the Services are provided "as is" and we disclaim implied warranties.
Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable for indirect or consequential losses, and each party's aggregate liability arising out of the Services is limited as set out in the applicable order (or, absent an order, to the fees paid in the 12 months preceding the claim). Nothing limits liability that cannot be limited by law.
Termination
Either party may terminate for material breach not remedied within a reasonable cure period. On termination, your right to use the paid Services ends and we will delete or return customer data as set out in the DPA.
Governing law
These Terms are governed by the laws of Romania, and the courts of Romania have jurisdiction, without prejudice to any mandatory consumer protections.
